About the Role

We are seeking a highly experienced and skilled General Counsel to join our team at Appear AS. As a key member of our executive team, you will be responsible for providing comprehensive legal guidance and ensuring compliance across all aspects of our global operations.

Key ResponsibilitiesCorporate Governance and Compliance
  • Develop and Implement a Robust Governance Framework: Create and maintain a comprehensive corporate governance framework that aligns with our company's needs and industry standards.
  • Ensure Ongoing Compliance: Oversee and ensure compliance with relevant regulations and laws, including those related to corporate governance, securities, and international operations.
  • Prepare and File Required Reports: Oversee the preparation and filing of required reports and disclosures in accordance with applicable laws and regulations.
Securities and Regulatory Compliance
  • Ensure Securities Compliance: Ensure that Appear AS complies with all securities laws and regulations, including those related to trading, reporting, and disclosure obligations.
  • Provide IPO Support: Provide legal advice and support for any potential future IPO processes, drawing on experience with listed companies and public offerings.
  • Stay Up-to-Date on Securities Laws: Develop and maintain up-to-date knowledge of securities laws and advise the executive team and board of directors on related matters.
Legal Strategy and Risk Management
  • Provide Strategic Legal Advice: Provide strategic legal advice to the CEO, executive team, and board of directors on a wide range of issues, including intellectual property, international contracts, employment law, and data privacy.
  • Identify and Mitigate Risks: Identify, assess, and mitigate legal risks to protect Appear AS's interests and support its global business objectives.
  • Manage External Counsel: Manage and oversee the work of external legal counsel in Norway and other key markets.
Corporate Transactions and Contracts
  • Negotiate and Draft Contracts: Negotiate, draft, and review key contracts, including vendor agreements, partnerships, and M&A transactions, with a focus on international operations.
  • Support Business Development: Support business development initiatives by providing legal guidance on strategic partnerships and global joint ventures.
Regulatory Compliance
  • Ensure Regulatory Compliance: Ensure that Appear AS complies with all applicable regulatory requirements in its operations, both domestically and internationally.
  • Stay Up-to-Date on Regulations: Maintain up-to-date knowledge of relevant laws and regulations and ensure that the company adapts to any changes in the legal environment.
Team Leadership
  • Lead the In-House Legal Function: Build and lead an in-house legal function, currently consisting of one direct report, capable of supporting Appear AS's expanding operations, with a focus on international compliance and governance.
  • Foster a Culture of Compliance: Foster a culture of compliance and ethics throughout the organization, ensuring adherence to global standards.
Qualifications
  • Masters Degree in Law
  • 5+ Years of Legal Experience
  • Significant Experience in Securities Law and Corporate Governance
  • Previous Experience as a General Counsel or Senior Legal Executive
  • Strong Understanding of the Regulatory Environment in Norway and Key International Markets
  • Excellent Negotiation, Communication, and Leadership Skills
  • Ability to Manage Multiple Priorities in a Fast-Paced Environment
  • High Ethical Standards and a Commitment to Integrity
